In Nepal private sector is far ahead in corporate governance and service delivery. Though it is one of the bad fate of we nepalese because ideally, the government sector should be ahead on governance issue and should guide to provate sector. Yet in proavate or corporate sector in Nepal, it is still in infant stage. Politics seems such a cross cutting thematic area that can be easily hooked everywhere.
In my oipnion, Nepalese corporate leaders have to take oath and practice on following deciplines for leading towards financial revolution in Nepal. They are:
1. No any kind of politics in corporate sector, only professionalism injection.
2. Transparancy on every aspects.
3. Making employees shareholders.
4. Anti-corrouption habit.
5. Encougaring to the emerging leaders and developing second line leadership.
6. Every actions guided by moral, etchics and rational.
7. Respect them who are more knowledgable irresprctive of age, gender, cast community and position.
8. Doing and supporting to leagal actions only.
9. Inbuilt mechanism of corporate social responsibility.
10. Knowledge sharing for benefit of public at large.
Shopping list could go long. I remain here because I think it is more that sufficient.

Establishing a new Investment Company.
Nearly 2 months before, an idea conceived in my mind that why not to gather the like-minded small investors of Nepal who were posting their ideas over the blog forum hosted by www.nepalsharemarket.com/jambforum. I took the initiative and invited to the friends over the blog and I found a lot of good response by the friends. So, we all the unfamiliar but like-minded people started gathering and sharing each other's feeling, experience, knowledge and tried to dig out the opportunities in the Nepalese investment sector. We completed 4 knowledge sharing meeting / workshop sessions till date. The group members are now 50+ and has diversified range of expertise such as Doctors, Engineers, Managers, Lawyers, Accountants, Computer Professionals, Tourism Sector Professionals, Social Scientists Public Administrators etc.
It was good to share ideas and experiences in the meeting but to squeeze more benefits from the group's expertise, some colleagues floated the idea of collective investment by the groups. Initially, it was discussed to set up a private investment basket fund but since it is a matter of people's hard earned money, it will be better to stand on the legal grounds and emerge as a corporate player. So, this company formation idea profounded.
We have more than 50 active members in the group in the moment and this number is gradually increasing, we have no choice other going to establish a Public Limited Investment company. So, being targeted as a public company, this opportunity is virtually open to all public at large. The concerned potential investors may have saveral genuine questions in their minds like what will be the size of the company? What are its targets? etc. etc. Therefore, to the extent of my knowledge and ability permits, I am posting some of the its features (you can say it FAQ) here in below:
What kind of this company will be?
Obviously, this will be an public limited investment company, basically targeting to work on Nepalese investment arena; playing with the available investment instruments for the sake of its shareholder's wealth maximization.
What will be this company's work scope?
This company will invest on the available investment instruments in Nepal. Some of the areas we are covering in its MOA and AOA but not limited to are shares, debentures, bonds, insurance, real estate, derivatives, personal lending, hybrid investment instruments, business development, portfolio management and so on.
What will be its initial capital structure?
Initially we are planning to establish of 100 million authorised and 50 million paid up equity capital structure. This is initial expectation only that we at least have confidence that we can raise fund and expected to go up gradually.
Is any growth plan anticipated in its vision?
Yes, though it is early to comment but at least we have vision and plan to grow one of the major public investment company of Nepal within upcoming 5 years, touching the mark of 1 billion capital base.
What will be its operational strategy?
We believe that there is no any short cult alternatives of honesty and hard working. Following will be our fundamental strategies:
i) Strict financial discipline and rule of law.
ii) Innovative approach.
iii) Low cost and high yield.
iv) Investment in people.
v) Do more with less.
Why need of this company felt when the national economy is degrading?
We feel that the bad fate of Nepalese investors is they always acted alone. The foremost need of the corporate investment is an united move that can contributed a lot to the national economy. Another fact is the Nepalese investment sector tend to be failure because of lack of innovativeness. We aim to do action research and develop hybrid investment instruments which can bring synergetic result in investment.
Can I propose myself as a promoter of this company?
Yes, of course. However, the company registration and all other process related matters are being handled by a professional steering committee till its formation. You can show your interest to be a promoter of this company by leaving a message for us. We can not assure you that you will surely get entry because it needs further series of meeting/discussion with you. However, we can assure you that you will surely ret response form our side for further actions.
What is the minimum and maximum amount to be a promoter of this company?
The minimum limit of minimum investment is set Nrs.200,000 and no maximum limit. However, it do not mean you can invest any higher amount. Our steering committee and promoter's group will set maximum limit later on considering the legal provisions of Nepal as well as balancing the investment size composition of the company.
How long it will take for complete formation of this company?
It depends on the progress of the action plan we have. However, we are hopeful that it will be latest by within upcoming 6 months.
Do I have to invest all the money at once?
No. Firest, you will be invited to join our promoter's meeting for face to face interaction and to have your say as well. If you are convinced with us and our steering committee permitted on your application to be a promoter, you need to provide 10% initial amount of your commitment. Then rest money will be gradually demanded as per need of the company, probably on two calls by 40%, and 50%
How can You assure me that my money is safe untill the company takes its legal shape?
We put the initially collected 10% money into the five joint signatory operated bank account where we will make provision that untill and unless the company takes its legal shape and took over the collected money in the legal name / bank account of the company, it will be freeze down. To meet the preliminary expenses of the company, the steering committee members will take care and will get reimbursement lateron from the company upon submission of the details of company's preliminary expenses.

Raising Investment Awareness.
We are collectively woring in a small group to raise investment awareness in Nepalese awareness. Upto now, four workshops are already held, viz.
1. Basic share workshop
2. Derevative workshop
3. Best buy shares from secondary market
4. Hybrid investment (of FD and insurance products)
Side by side, the group is emerging to be further united for the sake of knowledge sharing and mutual benefit - heading towards formation of a full fledged public investment company.
I am planning to organize next workshop on the theme is "Socio-business venture models" where the balanced view will be presented on how to intervene innovatively on the oversighted business sectors where the money, public reputation, name and fame lies. The presentation will be backed up by the detailed workings and business plans. Further agenda will be the next step ahead towards establishing the investement company.
